Annual Maintenance Contract (AMC)

The following additional terms and conditions shall apply to the Annual Maintenance Contract (AMC) offered by Sinhayu Solutions.

The Annual Maintenance Contract (AMC) shall remain valid for the agreed contract period as mentioned in the respective service agreement.
The AMC includes service support during the contract period as per the agreed scope of work.
The AMC charges shall be paid in advance before commencement of the contract period unless otherwise mutually agreed in writing.
Service response time shall be within 24-48 working hours from the time of complaint registration.
Any major repair, replacement, or additional work outside the AMC scope shall be undertaken only after receipt of advance payment for the applicable charges.
Two (2) preventive maintenance visits shall be carried out during the AMC period at mutually convenient times.

Service Coverage and Support

These clauses describe exclusions, working hours, spare parts, downtime limitations, and the scope of technical support during the AMC period.

The AMC does not cover damages caused due to mishandling, unauthorized modifications, electrical fluctuations, natural disasters, or external factors beyond normal operating conditions unless specifically mentioned.
During the AMC period, no third-party service provider or technician shall attend, repair, or carry out any maintenance work on the equipment covered under this AMC without prior consent from Sinhyu Solutions.
Service support shall be provided during normal working hours only, i.e., from 10:00 AM to 6:00 PM on working days.

Client Responsibilities

The client/customer shall maintain appropriate operating conditions and provide the required support for effective servicing of the covered equipment.

The client/customer shall ensure proper power supply, earthing, and suitable operating conditions for the equipment. Sinhyu Solutions shall not be responsible for failures or damages caused due to voltage fluctuations, improper electrical supply, environmental conditions, or operator negligence.
Equipment downtime arising due to non-availability of spare parts, delayed approvals, delayed payments, or circumstances beyond the control of Sinhyu Solutions shall not be considered the responsibility of Sinhyu Solutions.
All spare parts, components, and replacement materials required during the AMC period shall be arranged/provided by the client/customer. In cases where spare parts are arranged by Sinhyu Solutions, the cost shall be chargeable and payment for the same must be made in advance prior to procurement or installation.
The client/customer shall provide safe and unrestricted access to the equipment for carrying out inspection, maintenance, calibration, and repair work during service visits.
Sinhyu Solutions shall provide software support, calibration, troubleshooting, repair, and technical services for the covered equipment. Any spare parts, replacement components, consumables, or major assemblies required during the service shall be chargeable separately and subject to market availability.

These responsibilities should be read together with the agreed commercial scope and the operating conditions at the client site.

Liability, Confidentiality and Mutual Understanding

The following clauses address operational loss, confidentiality of commercial terms, and the mutual acceptance of this agreement.

Sinhyu Solutions shall not be held liable for any indirect loss, interruption of hospital operations, patient-related claims, revenue loss, or consequential damages arising from equipment breakdown or downtime.
Sinhyu Solutions shall not be responsible for delays in service support caused by natural disasters, war, riots, strikes, transportation issues, government restrictions, national holidays, or any other circumstances beyond its control.
The AMC charges, commercial terms, and service-related details agreed between both parties shall be treated as confidential and shall not be disclosed or shared with any third party without prior written consent from Sinhyu Solutions.
This agreement is based on mutual understanding and acceptance of the terms and conditions by both parties.
